1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User") and ISRA AI LLC, a limited liability company organized under the laws of the State of New Mexico, United States ("ISRA AI," "Company," "we," "us," or "our"), governing your access to and use of the website located at www.isra-ai.co (the "Site") and any related corporate services offered directly on the Site (the "Services"). ISRA AI LLC can be reached at the contact information in Section 15 below.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

Relationship to Product-Specific Terms. ISRA AI LLC operates as a parent company that develops and publishes multiple software applications, including but not limited to the Khayal application available at khayal.isra-ai.co. Each application operates under its own, separate Terms of Service and Privacy Policy that govern your use of that specific application. These Terms govern only your use of the corporate Site (www.isra-ai.co) itself — general information pages, contact forms, careers listings, investor or partner information, and similar corporate content. Where you download, register for, or use any ISRA AI application, the terms of service and privacy policy published for that specific application control your use of it, and in the event of a conflict between these Terms and an application-specific agreement, the application-specific agreement governs your use of that application.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Description of the Company and Site

ISRA AI LLC is an applied artificial intelligence studio that designs, builds, and operates software applications across consumer and enterprise markets. The Site is provided for informational purposes — to describe ISRA AI, its products, and how to contact us — and is not itself a transactional platform for the purchase of goods or services unless expressly stated otherwise on a specific page.

4. Acceptable Use

You agree not to:

1. Use the Site for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
2. Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site;
3. Interfere with or disrupt the integrity or performance of the Site;
4. Use any automated means, including bots, scrapers, or crawlers, to access the Site without our prior written consent;
5. Transmit any viruses, malware, or other harmful code;
6. Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
7. Submit false, misleading, or fraudulent information through any contact or inquiry form on the Site.

5. Intellectual Property

All content on the Site, including text, graphics, logos, trademarks, images, software, and the overall look and feel of the Site (collectively, "Content"), is the property of ISRA AI LLC or its licensors and is protected by United States and international intellectual property laws. Except as expressly permitted, you may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Content without our prior written consent.

"ISRA AI," "Khayal," and associated logos are trademarks of ISRA AI LLC. Nothing in these Terms grants you any right to use our trademarks without separate prior written permission.

6. Third-Party Links and Application Stores

The Site may contain links to third-party websites, including app store listings (e.g., Apple App Store, Google Play), payment processors, or social media platforms. ISRA AI LLC does not control and is not responsible for the content, privacy practices, or terms of any third-party site. Your interactions with those third parties are governed solely by their own terms and policies.

7. Disclaimers

THE SITE AND ANY GENERAL INFORMATION PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ISRA AI LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

Nothing on this Site constitutes medical, legal, financial, or professional advice of any kind.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ISRA AI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ISRA AI LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless ISRA AI LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Site, or your violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict-of-laws principles.

Informal Resolution. Before filing a claim, you agree to first contact us at info@isra-ai.co and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, that is not resolved informally shall be finally resolved by binding arbitration administered under the rules of the American Arbitration Association, conducted in the English language, with the seat of arbitration in the State of New Mexico. Each party shall bear its own costs of arbitration, except as otherwise required by applicable law. You and ISRA AI LLC each waive any right to a jury trial or to participate in a class action, to the fullest extent permitted by law.

Exceptions. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access to systems.

11. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.

12. Changes to These Terms

We may modify these Terms from time to time. The "Last Updated" date above reflects the most recent revision. Material changes will be indicated by updating this date or, where appropriate, through a notice on the Site. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ISRA AI LLC regarding the Site and supersede any prior agreements.
